How to open a branch office in Georgia?

A branch office already existing in Georgia is not a legal entity and is not subject to registration. On the other hand, if a foreign company wants to establish a subsidiary in Georgia, it is obliged to proceed with the registration of such subsidiary.

Requirements for incorporating a branch office

The registration of the subsidiary is carried out at the National Agency of Public Registration of Georgia. This application can be filed by the management of the parent company, its legal representative, the director of the subsidiary being registered or his representative.

The documents to be submitted are:

  • Application for registration;
  • The identity document of the person concerned or his representative (passport, National Identity Card, etc.);
  • Certificate of Registration of the parent company;
  • A decision of the authorized person on the establishment of a subsidiary;
  • A decision on the appointment of a head of the subsidiary or on the granting of the power of attorney by proxy, certified in accordance with Georgian legislation;

In the case of registering the company at an address that is not in the possession of the registered entity, the consent of the owner or the lease agreement must be submitted.
